End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you (the individual user) and MCCore Technologies ("MCCore", "we", "us") governing your use of the MCCore software platform, related apps, and documentation (collectively, the "Software"). Your organization's access is also subject to an enterprise agreement between MCCore and your employer or Covered Entity. If there is a conflict, the enterprise agreement controls for commercial terms; this EULA governs individual use of the Software.
1. License Grant
Subject to this EULA and your organization's agreement with MCCore, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for authorized healthcare-operations purposes within your organization.
2. License Restrictions
You may not: (a) copy, modify, or create derivative works of the Software except as expressly allowed; (b) reverse engineer, decompile, or attempt to extract source code except where prohibited restrictions are unlawful; (c) rent, sell, sublicense, or provide the Software to third parties; (d) remove proprietary notices; (e) use the Software to build a competing product; or (f) bypass security or access controls.
3. Accounts and Credentials
You are responsible for safeguarding login credentials assigned to you and for activity under your account. Notify your organization and MCCore promptly of any unauthorized use.
4. Intellectual Property
MCCore and its licensors retain all right, title, and interest in the Software, including all intellectual property rights. This EULA does not transfer ownership of the Software to you.
5. Data and HIPAA
Use of Protected Health Information through the Software is governed by HIPAA and the Business Associate Agreement between MCCore and your Covered Entity. You must follow your organization's policies and applicable law when handling PHI.
6. Disclaimer of Warranties
Except as required by law or stated in your organization's enterprise agreement, the Software is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement.
7. Limitation of Liability
To the maximum extent permitted by law, MCCore shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Software. Aggregate liability for claims arising under this EULA is limited as set forth in the applicable enterprise agreement.
8. Termination
This license ends when your organization's subscription ends, your account is deactivated, or you violate this EULA. Upon termination you must cease all use of the Software.
9. Governing Law
This EULA is governed by the laws specified in your organization's enterprise agreement with MCCore, without regard to conflict-of-law principles.
